Terms of Service

Welcome to The Tax AdvizHER®. These Terms of Service (the “Terms”) are a binding agreement between you and The Tax AdvizHER® (“Tax AdvizHER,” “we,” “us,” or “our”). They govern your access to and use of taxadvizher.com, any related landing pages, funnels, member portals, communities, podcasts, digital products, programs, and services we make available (together, the “Site” and “Services”).

Please read carefully. By visiting the Site, submitting a form, creating an account, purchasing a product, booking a session, or enrolling in a program, you confirm that you have read, understood, and agree to be bound by these Terms and by every policy referenced in them. If you do not agree, please do not use the Site or Services.

Section 16 contains a binding arbitration provision and a class action waiver that affect how disputes between you and us are resolved. Please review it closely.

1. WHO WE ARE

1. WHO WE ARE

The Tax AdvizHER® is the education, media, and coaching brand of Alysha Harvey, an Enrolled Agent licensed to practice before the Internal Revenue Service. The Site is operated by Tax AdvizHER, LLC, a Georgia limited liability company doing business as The Tax AdvizHER®, with a business address of 4751 Best Road, Suite 332, Atlanta, GA 30337.

Our tax preparation, representation, bookkeeping, and advisory engagements are performed by our affiliated professional practice under a separate signed engagement agreement. Nothing on this Site creates such an engagement. See our Service Disclaimer.

2. ELIGIBILITY

2. ELIGIBILITY

You must be at least 18 years old and able to form a binding contract to use the Site, make a purchase, or enroll in a program. If you are using the Site on behalf of a business or other entity, you represent that you are authorized to bind that entity, and “you” refers to both you and that entity.

You agree to provide accurate, current, and complete information whenever you register, purchase, or book with us, and to keep that information up to date.

3. ACCOUNTS AND ACCESS CREDENTIALS

3. ACCOUNTS AND ACCESS CREDENTIALS

Some Services require an account, portal login, or private access link. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account.

  • Accounts, seats, and access links are personal to you and may not be shared, sold, transferred, or used by more than one person or business.

  • You must notify us promptly at [email protected] if you suspect unauthorized use of your account.

  • We may suspend or terminate an account we reasonably believe is being shared, resold, or used in violation of these Terms, without refund.

4. OUR SERVICES

4. OUR SERVICES

Depending on what you choose, our Services may include digital products and workbooks, books, live and recorded trainings, group coaching and mentorship programs, membership communities, one-on-one strategy sessions and intensives, speaking engagements, and podcast and media content.

Product descriptions, curricula, session formats, delivery dates, and included materials are those stated at the time of purchase. We may improve, update, or substitute materials of comparable or greater value, and we may adjust live session schedules with reasonable notice.

5. EDUCATIONAL PURPOSE - NO PROFESSIONAL RELATIONSHIP

5. EDUCATIONAL PURPOSE - NO PROFESSIONAL RELATIONSHIP

All content on the Site and in our products, programs, and communities is provided for general educational and informational purposes only. It is not tax, legal, accounting, investment, or financial advice, and it is not a substitute for individualized professional guidance.

No client, advisor, fiduciary, or representation relationship is created by your use of the Site, your purchase of a product, your enrollment in a program, or your participation in a group session. Such a relationship is created only by a separate written engagement agreement signed by both you and our firm, and — for IRS representation — a properly executed Form 2848 or Form 8821.

Our full Service Disclaimer is incorporated into these Terms by reference.

6. PURCHASES, PRICING, AND PAYMENT

6. PURCHASES, PRICING, AND PAYMENT

Payment. By submitting an order, you authorize us and our payment processors to charge the payment method you provide for the total amount shown at checkout, including applicable taxes and fees. You represent that you are authorized to use that payment method.

Processors. Payments are handled by third-party processors. We do not store full payment card numbers. Your use of a processor is also subject to that provider’s terms and privacy policy.

Pricing. Prices are stated in U.S. dollars and may change at any time before you purchase. If a product or program is listed at an incorrect price due to a typographical or system error, we may cancel the order and issue a full refund.

Payment plans. Where a payment plan is offered, you remain responsible for the full purchase price. Enrolling in a plan is a commitment to all scheduled installments, not a per-installment subscription, unless the offer says otherwise. Missed installments may result in suspended access until the balance is cured.

Failed payments. If a payment fails, we may retry it, suspend access, and charge any bank-imposed fee we incur. Balances more than 30 days past due may be referred for collection, and you agree to pay reasonable costs of collection.

Chargebacks. If you believe a charge is in error, contact us first at [email protected] so we can resolve it. Initiating a chargeback on a valid charge is a breach of these Terms and may result in immediate termination of access and pursuit of the amount owed.

7. REFUNDS

7. REFUNDS

Refund eligibility is governed by our Shipping, Return, and Refund Policy and, for subscription programs, our Membership Terms and Conditions. Digital products and completed services are generally non-refundable. Please review those policies before purchasing.

8. INTELLECTUAL PROPERTY

8. INTELLECTUAL PROPERTY

The Site and all content on it — including text, workbooks, worksheets, frameworks, curricula, slide decks, recordings, audio, video, graphics, photography, layout, and software — is owned by us or our licensors and is protected by U.S. and international copyright, trademark, and other intellectual property laws.

The Tax AdvizHER®, AdvizHER™, and our logos, taglines, program names, and product names are our trademarks. You may not use them without our prior written permission.

Your limited license

When you purchase a product or enroll in a program, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the materials for your own individual or single-business use. You may print or download materials for that purpose only.

What you may not do

  • Copy, resell, license, sublicense, rent, or distribute any materials, in whole or in part.

  • Share logins, links, downloads, replays, or workbooks with anyone outside your purchase.

  • Record, screenshot for redistribution, transcribe, or livestream any live session, group call, or community discussion.

  • Use our materials to build, train, or fine-tune any artificial intelligence or machine learning model, or to create a competing course, program, or product.

  • Remove or alter any copyright, trademark, or proprietary notice.

  • Teach, coach, or present our frameworks or materials as your own.

This license ends automatically if you violate these Terms. We reserve all rights not expressly granted.

9. YOUR CONTENT, TESTIMONIALS, AND FEEDBACK

9. YOUR CONTENT, TESTIMONIALS, AND FEEDBACK

You retain ownership of any content you submit — including community posts, questions, worksheets, reviews, and documents. By submitting content to a public or community area of our Services, you grant us a worldwide, royalty-free, non-exclusive license to host, display, and use it for the purpose of operating and improving our Services.

If you provide a testimonial, review, or success story, or appear on our podcast or in a live session, you grant us permission to use your name, likeness, business name, and statements in our marketing, unless you tell us in writing that you would prefer we not.

Any suggestions or feedback you send us may be used freely, without obligation or compensation to you.

You are solely responsible for content you submit and represent that you have the right to submit it and that it does not violate any law or third-party right.

10. ACCEPTABLE USE

10. ACCEPTABLE USE

You agree not to:

  • Use the Site or Services for any unlawful, fraudulent, or harmful purpose.

  • Harass, threaten, defame, discriminate against, or abuse any member, guest, staff member, or participant.

  • Solicit, pitch, spam, or recruit members of our communities for your own offers without our written permission.

  • Post another person’s confidential or personal information, including tax documents or financial records.

  • Upload viruses, malicious code, or anything designed to interfere with the Site.

  • Scrape, crawl, data-mine, reverse engineer, or attempt to gain unauthorized access to any part of the Site or its systems.

  • Misrepresent your identity, credentials, or affiliation with us.

  • Impersonate The Tax AdvizHER® or hold yourself out as authorized to speak or provide services on our behalf.

We may investigate suspected violations and may remove content, suspend access, or terminate your account — with or without notice, and without refund — where we reasonably believe a violation has occurred.

11. THIRD-PARTY SERVICES, LINKS, AND PLATFORMS

11. THIRD-PARTY SERVICES, LINKS, AND PLATFORMS

The Site and Services rely on third-party platforms, including our website and CRM platform, payment processors, video conferencing tools, scheduling tools, email and SMS providers, course and community hosts, and social media and podcast platforms. Some of our programs are delivered on separate domains or platforms operated by us or our affiliates.

We are not responsible for the content, availability, security, terms, or privacy practices of third-party sites and services. Links to third-party resources are provided for convenience and do not imply endorsement. Your dealings with third parties are solely between you and them.

12. ELECTRONIC COMMUNICATIONS AND RECORDS

12. ELECTRONIC COMMUNICATIONS AND RECORDS

By using the Site, you consent to receive communications from us electronically, including by email, SMS (where you have opted in), and notices posted on the Site. You agree that electronic communications, agreements, and signatures satisfy any legal requirement that a communication be in writing.

Your communication preferences are described in our SMS and Email Communication Policy.

13. DISCLAIMERS

13. DISCLAIMERS

THE SITE, CONTENT, PRODUCTS, AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Site will be uninterrupted, timely, secure, or error-free, that content is complete or current, or that any particular financial, tax, or business result will be achieved. See our Warranty Policy and Service Disclaimer.

14. LIMITATION OF LIABILITY

14. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER TAX ADVIZHER, LLC NOR ITS OWNERS, MEMBERS, OFFICERS, EMPLOYEES, CONTRACTORS, OR AFFILIATES WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, LOST TAX BENEFITS, PENALTIES, INTEREST, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO THE SITE, CONTENT, PRODUCTS, OR SERVICES — EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS, THE SITE, OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you. In that case, our liability is limited to the fullest extent permitted by law.

15. INDEMNIFICATION

15. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Tax AdvizHER, LLC and its owners, members, officers, employees, contractors, and affiliates from any claims, damages, liabilities, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Site or Services; (b) your violation of these Terms or any applicable law; (c) content you submit; (d) your violation of any third-party right; or (e) any tax, legal, or financial position you take based on our educational content.

16. DISPUTE RESOLUTION, ARBITRATION, AND CLASS ACTION WAIVER

16. DISPUTE RESOLUTION, ARBITRATION, AND CLASS ACTION WAIVER

Informal resolution first. Before filing any claim, you agree to contact us at [email protected] with a written description of the dispute and to work with us in good faith for at least thirty (30) days to resolve it. Most issues can be handled this way.

Binding arbitration. If we cannot resolve the dispute informally, any controversy or claim arising out of or relating to these Terms, the Site, or the Services will be settled by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. Arbitration will take place in Fulton County, Georgia, or by videoconference at your election, before a single arbitrator. Judgment on the award may be entered in any court of competent jurisdiction.

Class action waiver. YOU AND WE AGREE THAT EACH MAY BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate claims or preside over any class proceeding.

Exceptions. Either party may bring an individual claim in small claims court, and either party may seek injunctive relief in court to protect intellectual property or confidential information.

Your right to opt out. You may opt out of this arbitration provision by emailing [email protected] with the subject line “Arbitration Opt-Out” within thirty (30) days of first accepting these Terms. Opting out will not affect any other part of these Terms.

17. GOVERNING LAW AND VENUE

17. GOVERNING LAW AND VENUE

These Terms are governed by the laws of the State of Georgia, without regard to its conflict of laws rules. Subject to Section 16, you consent to the exclusive jurisdiction and venue of the state and federal courts located in Fulton County, Georgia.

18. TERM AND TERMINATION

18. TERM AND TERMINATION

These Terms remain in effect while you use the Site or Services. You may stop using the Services at any time. We may suspend or terminate your access at any time, with or without notice, if we reasonably believe you have violated these Terms, created risk or legal exposure for us, or engaged in conduct harmful to our community.

Termination for cause does not entitle you to a refund. Sections regarding intellectual property, disclaimers, limitation of liability, indemnification, dispute resolution, and governing law survive termination.

19. CHANGES TO THESE TERMS

19. CHANGES TO THESE TERMS

We may update these Terms from time to time. The “Last Updated” date at the top reflects the most recent revision. Material changes will be posted on this page and, where appropriate, communicated by email. Your continued use of the Site or Services after changes take effect constitutes acceptance of the revised Terms.

20. GENERAL PROVISIONS

20. GENERAL PROVISIONS

Entire agreement. These Terms, together with the policies referenced in them and any signed engagement agreement, are the entire agreement between you and us regarding the Site and Services.

Order of precedence. If a signed engagement agreement conflicts with these Terms, the signed agreement controls for that engagement.

Severability. If any provision is found unenforceable, the remaining provisions remain in full force.

No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.

Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, or sale of assets.

Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control, including natural disasters, illness, power or internet outages, platform failures, labor disruptions, or government action.

Headings. Headings are for convenience only and do not affect interpretation.
